1. Who we are
Noir Plugins is a trading name of Situ Music Ltd, a company registered in England & Wales (company number 16328131, registered office 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom). You can reach us at support@noirplugins.com.
These terms govern your purchase and use of our software products, including Invention, and your use of this website. By purchasing or using our software you agree to these terms. If you are a consumer, nothing in these terms affects your statutory rights.
2. The product
Invention is a software instrument plugin for macOS, delivered digitally in AU and VST3 formats. It is a digital product: nothing physical is shipped. System requirements are listed on the product page and may change between versions; please check them before purchasing.
3. Your license
When you buy Invention you are buying a license to use the software, not the software itself. The license is:
- Personal — issued to you (or your company) and linked to your Noir Plugins account.
- Multi-machine — you may activate the software on up to 2 machines that you own or control at the same time. You can deactivate a machine by contacting support to free up a slot.
- Perpetual for the version purchased — it does not expire. Activation periodically renews in the background; the software works offline for extended periods between renewals.
- Non-transferable — it may not be resold, rented, sublicensed or shared, except that we will consider one-time license transfers on request at our discretion.
You may use sounds and audio you create with Invention in your own music, commercial or otherwise, without restriction and without credit.
4. Free trial
Invention includes a 14-day free trial with full functionality. The trial requires no account and no payment details. When the trial ends, the plugin stops producing audio until it is activated with a purchased license.
5. Accounts, purchase and delivery
Payments are processed by Stripe; we never see or store your card details. After a successful purchase, a Noir Plugins account is created for you automatically using the email address you provided at checkout, and you will receive an email to set your password. You then sign in from inside the plugin to activate it. Delivery is immediate and electronic.
You are responsible for keeping your account credentials secure. Prices are shown at checkout and may change; the price you pay is the price displayed at the time of purchase. Depending on your country, applicable VAT or sales tax may be added at checkout.
6. Refunds
Our refund policy is set out on the Refund Policy page. In short: try the free trial first, and if a purchase still doesn't work out, contact us within 14 days for a full refund.
7. Updates and support
Your license includes all updates to the major version purchased (e.g. all 1.x updates for a version 1 license) at no extra cost. We provide support by email at support@noirplugins.com on a reasonable-efforts basis. We may release paid major upgrades in the future; these are never required — your purchased version keeps working.
8. What you may not do
- Distribute, share, sell or otherwise make the software or your license available to third parties.
- Reverse engineer, decompile or disassemble the software, or circumvent its license protection, except to the extent such acts are expressly permitted by applicable law.
- Use the software to build a competing product, or extract its components (samples, presets, code) for use outside the software.
9. Ownership
The software, including its code, design, presets, artwork and trademarks (including "Noir Plugins", "Invention" and "Catch the Hit"), is and remains the property of Situ Music Ltd. All rights not expressly granted are reserved.
10. Disclaimer and limitation of liability
The software is provided "as is". To the fullest extent permitted by law, we exclude all implied warranties and we are not liable for indirect or consequential losses, loss of profits, or loss of data arising from use of the software. Our total liability in connection with the software is limited to the amount you paid for it.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law. If you are a consumer, you retain all rights granted to you by the law of the country you live in.
11. Termination
We may suspend or terminate a license that is used in material breach of these terms (for example, sharing license credentials or circumventing copy protection). Where practicable we will contact you first to resolve the issue.
12. Changes to these terms
We may update these terms from time to time. The version in force at the time of your purchase applies to that purchase. Material changes will be posted on this page with an updated date.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction. If you are a consumer living elsewhere, you keep the protection of the mandatory rules of the law of the country you live in, and you may bring proceedings in your own courts.
